Terms of Service
These Terms of Service ("Terms") govern your use of VaultHire, operated by Legatum Group Limited ("Legatum", "we", "us", "our"). By creating an account or using VaultHire, you agree to these Terms.
If you do not agree, do not use the Service.
1. Definitions
- "Service" or "VaultHire" — the recruitment intelligence platform operated by Legatum at vaulthire.org and related domains.
- "Customer" or "you" — the individual or entity that creates an account and uses the Service.
- "Content" — data, text, search results, hiring manager information, and other materials made available through the Service.
- "Customer Data" — any data uploaded or input by you into the Service (e.g. CVs, saved searches, outreach drafts).
- "Subscription" — the paid or free plan you have selected.
2. Account registration and eligibility
To use VaultHire you must:
- Be at least 18 years old
- Have legal authority to enter into these Terms (on your own behalf or on behalf of an organisation)
- Provide accurate registration information
- Use the Service only for lawful B2B recruitment and business development purposes
You are responsible for:
- Keeping your password secure
- All activity under your account
- Ensuring all users you grant access to the Service are bound by these Terms
We may refuse, suspend, or terminate accounts at our discretion, including where we suspect fraud, abuse, or violation of these Terms.
3. Subscription, billing, and payment
Plans
Current plans and pricing are listed at vaulthire.org/pricing. We reserve the right to change pricing with 30 days' notice for existing subscriptions; existing terms apply until the next renewal.
Founders pricing
Founders-tier customers receive a fixed price locked in for the duration of their continuous subscription. If you cancel and rejoin, current pricing applies.
Free trial
We offer a free trial of limited duration with a credit allowance. Trial users are subject to abuse-prevention measures including device fingerprinting and email canonicalisation. We may decline trials at our discretion.
Billing
Subscriptions are billed in advance, monthly or annually, via Stripe. By providing payment information you authorise us to charge the recurring subscription fee until cancellation.
Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you retain access until then. We do not provide refunds for partial periods unless required by law.
Refunds
Refunds are at our discretion except where required by UK consumer law. Founders pricing is non-refundable beyond statutory rights.
Failed payments
If a payment fails we will retry per Stripe's standard retry schedule. After repeated failures we may suspend access to the Service until payment is received.
4. Acceptable use
When using VaultHire you agree NOT to:
- Use the Service for any unlawful purpose or in breach of any applicable law
- Send unsolicited marketing communications that violate UK PECR, GDPR, or equivalent regulations in your jurisdiction
- Send communications to data subjects who have opted out
- Sell, sublicense, or onward-distribute hiring manager contact data obtained through the Service
- Scrape, copy, or systematically extract data from the Service except as expressly permitted
- Reverse-engineer, decompile, or attempt to derive the source code of the Service
- Use the Service to send spam, malware, harassment, or any unlawful content
- Misrepresent your identity, affiliations, or contact details
- Share account credentials except as permitted under your plan
- Interfere with or disrupt the Service or attempt to bypass security measures
- Use the Service to compete with VaultHire or to build a competing product
Violation of this section may result in immediate suspension or termination of your account, and we reserve the right to seek damages and injunctive relief.
5. Customer data and outreach obligations
Your responsibilities
You are responsible for the lawfulness of any communications you send using contact information obtained through VaultHire. Specifically:
- You must have a valid legitimate business purpose for each communication
- You must comply with UK GDPR, UK PECR, and equivalent regulations in the recipient's jurisdiction
- You must include a clear and prominent opt-out mechanism in every marketing email
- You must honour opt-out requests promptly
- You must not contact individuals on suppression lists you are aware of
- You must not impersonate or misrepresent yourself
Our role
VaultHire provides the data and the tools. The customer is the data controller for any communications they choose to send. Legatum acts as a data controller for its own data sourcing activities; the customer is a separate data controller for their outreach activities. This is consistent with how leading B2B contact intelligence platforms operate.
Indemnity for customer-initiated communications
You agree to indemnify Legatum against any claims, fines, or losses arising from communications you send using data obtained through the Service, where those claims relate to your actions as data controller for that communication.
6. Data processing and privacy
Our processing of personal data is described in the Privacy Policy. By using the Service you acknowledge the Privacy Policy.
For the limited circumstances where Legatum processes Customer Data on your behalf as a data processor (e.g. CVs you upload for spec matching), the relationship is governed by our Data Processing Addendum, which is incorporated into these Terms.
7. Intellectual property
Ours
All intellectual property in the Service — including software, design, branding, content, methodology, models, and the platform itself — belongs to Legatum or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for the duration of your subscription, in accordance with these Terms.
Yours
You retain ownership of any Customer Data you upload. You grant us a non-exclusive, royalty-free licence to process Customer Data solely to provide the Service to you.
Feedback
Any feedback, suggestions, or improvement ideas you share with us may be used by Legatum without restriction or compensation.
8. Service availability
We aim to provide a reliable Service but do not guarantee uninterrupted availability. The Service may be unavailable due to:
- Scheduled maintenance (advance notice provided where possible)
- Emergency maintenance
- Failure of third-party services (data providers, infrastructure)
- Force majeure events
We are not liable for downtime, lost data, or business interruption. We do not currently offer a contractual SLA. Bespoke SLAs may be available at enterprise tier — contact us at hello@legatumgroup.uk.
9. Third-party services
VaultHire integrates with third-party data providers and services. Their availability, accuracy, and behaviour are outside our control. We do not warrant the accuracy or completeness of data sourced from third parties; we apply our own quality controls but cannot guarantee any specific record is correct, current, or complete.
If we discover a third-party data inaccuracy you may flag, we will use reasonable efforts to investigate and correct.
10. Disclaimers and limitation of liability
Disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, Legatum disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
We do not guarantee:
- That contact data is accurate, current, or complete
- That the Service will meet your specific business requirements
- That the Service will be uninterrupted or error-free
- That you will achieve any specific business outcomes through use of the Service
Limitation of liability
To the fullest extent permitted by law:
- Legatum's total aggregate liability for any claims arising out of or relating to the Service is limited to the fees you have paid to Legatum in the 12 months preceding the event giving rise to the claim
- Legatum is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of business, or loss of goodwill, even if advised of the possibility
These limitations do not apply to:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Any liability that cannot be limited under applicable law
11. Indemnity
You agree to indemnify, defend, and hold harmless Legatum and its directors, employees, and agents from any claims, damages, costs, or losses (including legal fees) arising from:
- Your use of the Service in breach of these Terms
- Your communications sent using data obtained through the Service
- Your violation of any law or third-party rights
- Customer Data you upload that infringes third-party rights or violates law
12. Term and termination
Term
These Terms apply for as long as you have an account or are using the Service.
Termination by you
You may terminate by cancelling your subscription at any time through your account settings.
Termination by us
We may terminate or suspend your account immediately if:
- You materially breach these Terms
- You fail to pay fees when due
- We are required to do so by law or regulation
- We reasonably believe your use threatens the security or operation of the Service
Effect of termination
Upon termination:
- Your access to the Service ends
- We retain Customer Data for 90 days (allowing recovery if you reinstate), then delete it
- Provisions that by their nature should survive (e.g. ownership, liability, indemnity) continue
13. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date will reflect changes. For material changes, we will notify you by email or in-platform notice at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
14. Governing law and disputes
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any disputes, except that we may seek injunctive relief in any jurisdiction to protect our intellectual property.
We encourage informal resolution first. If you have a complaint, please contact us at hello@legatumgroup.uk before escalating.
15. Miscellaneous
- Entire agreement — these Terms (together with the Privacy Policy, Cookie Policy, AUP, and any DPA) form the entire agreement between you and Legatum.
- Severability — if any provision is held unenforceable, the rest of the Terms remain in effect.
- No waiver — failure to enforce any provision is not a waiver.
- Assignment — you may not assign these Terms without our consent. We may assign in connection with a business transfer.
- Force majeure — neither party is liable for delays or failures due to events beyond reasonable control.
- Notices — we will send notices to your registered email. You should send notices to legal@legatumgroup.uk.
